1. Agreement to Terms

By accessing or using the Mavrix Digital platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). The Platform is operated by The Aurum Alliance Inc. ("Mavrix Digital," "we," "us," or "our"). If you do not agree to these Terms, do not use the Platform.

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding contract to use the Platform. By using the Platform, you represent that you meet these requirements. If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

3. Platform Description

Mavrix Digital provides a multi-business growth stack including social media publishing, email automation, visitor intelligence, and portfolio analytics tools for operators managing multiple businesses ("Services").

4. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@mavrixdigital.ca if you suspect any unauthorised use. We reserve the right to terminate accounts that violate these Terms.

5. Acceptable Use

You agree not to use the Platform to:

Send unsolicited commercial messages (spam) or violate anti-spam laws including CASL.
Distribute malware, phishing content, or other harmful material.
Scrape, reverse-engineer, or extract data from the Platform without written permission.
Violate any applicable law or regulation.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Interfere with or disrupt the integrity or performance of the Platform.

6. Intellectual Property

The Platform, including all software, designs, text, and trademarks, is owned by or licensed to Mavrix Digital and is protected by Canadian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for your internal business purposes.

You retain ownership of all content you upload or create through the Platform ("Your Content"). By submitting Your Content, you grant us a non-exclusive, worldwide licence to host, process, and display it as necessary to provide the Services.

7. Fees and Payment

Certain features of the Platform require a paid subscription. Fees are stated on our pricing page and are billed in advance on a monthly or annual basis. All fees are in Canadian dollars unless otherwise stated. Subscriptions auto-renew unless cancelled before the renewal date. Refunds are issued at our discretion; contact billing@mavrixdigital.ca for billing inquiries.

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MAVRIX DIGITAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Mavrix Digital, its affiliates, officers, directors, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Platform, Your Content, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Platform at our discretion if you breach these Terms or for any other legitimate business reason. You may cancel your account at any time through the Platform settings. Upon termination, your right to use the Platform ceases immediately.

12. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of Ontario, Canada.

13. Changes to These Terms

We may modify these Terms at any time. We will provide at least 14 days' notice of material changes via email or in-app notification. Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the changes.
